Member Terms and Conditions of Use

1. Parties and Roles

These Member Terms and Conditions of Use ("Member Terms") govern your use of public, non-clinical online services operated by SGGA Management LLC dba Advanced Vitality ("Advanced Vitality," "we," "us"). Advanced Vitality is a management services organization and does not practice medicine. Medical services are provided independently by RK Medical CA PC and its licensed clinicians in accordance with applicable law.

Informational Only; No Medical Advice; Emergencies. The platform includes educational information and intake/contact tools but is not medical advice and does not create a patient–clinician relationship. For medical questions, consult a licensed clinician. In an emergency, call 911. For mental health crises, call or text 988 (Suicide & Crisis Lifeline).

2. Scope; Clinical Agreements; PHI Boundary

These Member Terms apply to our public website and intake/contact features (the "Platform"). Clinical evaluation, diagnosis, treatment, and prescribing are provided by RK Medical CA PC under separate patient agreements and informed consent documents. Your medical records and Protected Health Information (PHI) are governed by RK Medical CA PC's HIPAA Notice of Privacy Practices (NPP), not these Member Terms. Do not submit PHI via public pages or general email; use the secure patient portal/telehealth platform when instructed.

3. No Account Registration

You are not required to create an account or register on our website. To request contact or an appointment, you may submit your contact details via our intake form. Website intake does not create a patient relationship; clinical access is established only through RK Medical CA PC's onboarding and consent process.

4. Eligibility; Minors

The Platform is intended for individuals 18+. Access for minors aged 13–17, if offered, occurs only with verified parental/guardian consent and in accordance with RK Medical CA PC policies and applicable state law.

5. Payments; Cancellations; Chargebacks

Clinical charges, deposits, late cancellation/no‑show fees, and past‑due balances are billed by RK Medical CA PC through its payment processor. By providing a payment method during clinical onboarding, you authorize the Practice and its processor to store the method, reattempt failed charges, and charge any backup method you provide. Prices exclude applicable taxes.

Disputes; Chargebacks. If you believe a charge is in error, contact Contact us via email within 10 days of the charge so we can investigate. You agree not to initiate a chargeback for amounts properly charged under applicable financial policies; improper chargebacks may result in suspension until resolved. This does not waive any non‑waivable card network rights.

Refunds/Cancellations. Refunds and cancellation/no‑show fees are governed by the Practice's financial policy and our Payment Terms.

6. Independence of Clinicians

Advanced Vitality does not provide medical care, does not employ clinicians, and does not endorse specific tests, products, or treatments. Clinical services are provided solely by RK Medical CA PC clinicians in their professional judgment.

7. Prescriptions; Controlled Substances

Prescribing decisions are made by your clinician in their professional judgment and in accordance with law. Certain medications may be unavailable or limited by clinical policy, FDA status, payer coverage, or DEA/telemedicine rules.

8. Acceptable Use; No PHI in Public Channels

You agree not to misuse the Platform, including by violating laws, infringing intellectual property, attempting to access non‑public areas, introducing malware, scraping without consent, or harassing others. Do not post or transmit PHI in public or unsecure channels. Use the portal for clinical communications when instructed.

9. Intellectual Property; Limited License

Unless stated otherwise, Advanced Vitality or its licensors own the Platform and content, protected by U.S. and international laws. We grant you a limited, personal, non‑exclusive, non‑transferable license to use the Platform for personal, non‑commercial purposes, subject to these Member Terms.

10. Links to Third‑Party Sites

The Platform may link to third‑party websites. We are not responsible for third‑party content or practices. Links do not imply endorsement.

11. Security; Identity Verification

We use reasonable safeguards appropriate to the nature of the information. If you proceed to clinical onboarding, you may be required to verify your identity in accordance with telehealth requirements. No system is 100% secure.

12. Disclaimers

THE PLATFORM AND CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ADVANCED VITALITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE MEMBER TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). NOTHING HERE LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

14. Indemnification

You agree to indemnify and hold harmless Advanced Vitality and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform or violation of these Member Terms.

15. DMCA Notice

If you believe content infringes your copyright, send a notice that complies with 17 U.S.C. § 512(c)(3) to our Agent:

16. Governing Law; Dispute Resolution; Arbitration

These Member Terms are governed by the laws of the State of California, without regard to conflicts rules.

Mandatory Arbitration; Class Action Waiver. Except for small‑claims court or claims for injunctive relief, any dispute arising out of or relating to these Member Terms or the Platform will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. The Federal Arbitration Act governs this provision. You and Advanced Vitality waive the right to a jury trial and to participate in a class or representative action. The arbitrator has exclusive authority to resolve disputes regarding the interpretation, applicability, or enforceability of this arbitration provision (delegation clause). If 25 or more similar arbitration demands are filed by the same or coordinated counsel, JAMS will batch them to promote efficiency. You may opt out of arbitration within 30 days of first accepting these Member Terms by emailing legal@advancedvitality.com with your name, your contact email, and a statement that you opt out. Venue for non‑arbitrable claims is the state or federal courts in the US, California.

17. Advertising; Testimonials; Claims

We follow state medical advertising standards and FTC guidance. We do not guarantee outcomes; individual results vary. Testimonials reflect individual experiences and are not typical unless stated.

18. Changes; Entire Agreement; Severability; Waiver

We may update these Member Terms from time to time. The updated effective date will be posted, and continued use constitutes acceptance. These Member Terms, together with the Website Terms, Website Privacy Policy, Payment Terms, and the Practice's patient agreements and NPP, form the applicable terms for your use of the Platform and access to clinical services. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will remain in full force. No waiver is effective unless in writing.
